Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of ChatShield, a data loss prevention (DLP) and AI governance tool operated by Lura Labs Ltd (“we”, “us”, “our”). By creating an account or using the service, you agree to be bound by these Terms.

ChatShield provides a browser extension and admin dashboard that help organisations prevent staff from accidentally sharing sensitive business data with AI chat tools such as ChatGPT and Claude.

2. Accounts and Organisations

To use ChatShield, an organisation admin must create an account using a valid email address. The admin is responsible for managing their organisation, including inviting and removing staff members.

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account and for all activity that occurs under it.
  • Organisation admins are responsible for ensuring their staff members comply with these Terms.
  • You must be at least 18 years old to create an account.

3. The Service

Browser Extension

The ChatShield browser extension intercepts messages before they are submitted to supported AI chat tools and evaluates them against your organisation's DLP rules. Rule evaluation happens entirely within the browser — message content is never sent to our servers. The extension requires specific browser permissions to function, as described in our Privacy Policy.

Admin Dashboard

The admin dashboard allows organisation administrators to manage DLP rules, view activity metadata, invite and manage team members, and manage billing. The dashboard displays aggregate data about rule triggers — it does not display or store message content.

Availability

We aim to keep the service available at all times but do not guarantee uninterrupted access. The browser extension is designed to continue functioning using cached configuration if our servers are temporarily unreachable.

4. Acceptable Use

You agree not to:

  • Use ChatShield for any unlawful purpose or in violation of applicable laws
  • Attempt to reverse engineer, decompile, or disassemble the software
  • Interfere with or disrupt the service, servers, or networks connected to the service
  • Circumvent or disable any security features of the service
  • Resell, sublicence, or redistribute the service without our written consent
  • Use the service to monitor individuals without their knowledge where required by law

ChatShield is a staff training and AI governance tool. It is designed to help organisations protect sensitive data — not to conduct covert surveillance. Admins must ensure staff are informed that the extension is active.

5. Data Handling

Our approach to data is central to ChatShield's value proposition. In summary:

  • Message content is never sent to our servers. All DLP rule evaluation happens locally in the browser extension.
  • We collect activity metadata only — which rule was triggered, on which AI tool, what action was taken, and a timestamp.
  • Account data (email, name, organisation) is stored to operate the service.

6. Billing and Subscriptions

Plans and Pricing

ChatShield is a paid service with per-seat pricing. Current plans and prices are displayed on our website. We reserve the right to change pricing with 30 days' notice to existing subscribers.

Free Trial

New organisations receive a 14-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your subscription will begin and you will be charged.

Payment

All payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis (monthly or annually, depending on your chosen plan). You are responsible for keeping your payment method up to date.

Cancellation

You may cancel your subscription at any time from the billing page. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Seat Limits

Your plan includes a specified number of seats. Each staff member invited to your organisation counts as one seat. You may not invite more staff than your plan allows. If you require more than 10 seats, please contact us.

7. Referral Programme

Each organisation receives a unique referral link. If a referred organisation completes their trial and makes their first payment:

  • The referring organisation receives a credit equivalent to one free month, applied to their next invoice via Stripe
  • The referred organisation receives 50% off their first month

Referral credits have no cash value and cannot be transferred. We reserve the right to modify or discontinue the referral programme at any time.

8. Intellectual Property

ChatShield, including its software, design, and documentation, is owned by Lura Labs Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the service for your organisation's internal business purposes.

You retain ownership of any custom DLP rules you create within the service.

9. Limitation of Liability

ChatShield is a staff training and governance tool — not an airtight security solution. To the maximum extent permitted by law:

  • We are not liable for any data that is shared with AI tools despite the extension being installed, whether due to rule configuration, browser changes, or other factors
  • We are not liable for indirect, incidental, special, or consequential damages arising from your use of the service
  • Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or death or personal injury caused by negligence.

10. Termination

You may close your account at any time by contacting us or using the settings page in the admin dashboard. We may suspend or terminate your account if you breach these Terms, with reasonable notice where possible.

On termination, your access to the service will cease. Your data will be deleted in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to organisation admins via email at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the service will be subject to the exclusive jurisdiction of the courts of England and Wales.
